These terms govern your use of synelostudio.com and the services provided by Synelo Studio, EU ("Synelo"). By using the site or engaging us, you agree to these terms.
1. Services
Synelo Studio provides website audits ("scans"), AI agent builds, web development, and EU compliance preparation packages. Specific scope, deliverables, fees, and timelines are agreed per engagement in a written Statement of Work (SOW).
2. Free audit scan
The free scan tool generates a public report at /scan/[id] for any URL you submit. The report is hosted for 90 days. Reports are deletable on request to privacy@synelostudio.com. You confirm you have the right to submit the URL for scanning.
3. Fees and payment
Project fees are fixed in the SOW and quoted in EUR. We invoice via Stripe; payment terms are net 14 unless otherwise agreed. Late invoices accrue statutory interest under Czech Civil Code § 1970. VAT is added where applicable.
4. Ship-date commitment / refund
Every fixed-price project SOW includes a ship date. If we miss it for reasons attributable to us (not to client delays in input or approvals), we refund 50% of the engagement fee on request, and the engagement otherwise continues until delivery.
5. Intellectual property
- On full payment, you receive a perpetual, worldwide, royalty-free licence to use the deliverables for your business.
- We retain ownership of our pre-existing tools, libraries, and generic patterns — you receive a licence to use them embedded in the deliverable.
- We may reference our work on you (logo, anonymised case study) unless your SOW says otherwise.
6. Acceptable use
You agree not to:
- Use the site to violate any law or third-party rights.
- Attempt to bypass authentication, rate limits, or other security controls.
- Submit URLs to scan that you have no right to submit.
- Reverse-engineer or scrape the service beyond what robots.txt allows.
7. Warranties and disclaimers
Free tools (scans, chat, calculators) are provided as-is without warranty. Paid services are warranted to substantially conform to the SOW; our exclusive remedy for a confirmed non-conformance is re-performance.
Audit outputs and AI-generated content are informational. They do not constitute legal, accounting, or investment advice. You are responsible for evaluating and verifying the output before relying on it.
8. Limitation of liability
To the maximum extent permitted by Czech law, Synelo's aggregate liability arising from or related to the services is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or goodwill.
Nothing in these terms excludes liability that cannot be excluded under applicable law (e.g. for death, personal injury, or fraud).
9. Term and termination
Either party may terminate an engagement with 14 days' notice. On termination you owe fees for work performed plus reasonable wind-down costs; we deliver the work-in-progress as-is.
10. Governing law and venue
These terms are governed by the laws of the Czech Republic. Any dispute is subject to the exclusive jurisdiction of the courts of Prague, Czech Republic. Consumers retain the protection of mandatory provisions of the law of their habitual residence.
11. Changes
We may update these terms; material changes take effect 30 days after we post the updated version here. Continued use after that constitutes acceptance.
